You must not misuse our services by knowingly introducing viruses, trojans, worms, or other material that is malicious or technologically harmful.
4. Intellectual Property
4.1 Ownership
All content included on this site, such as text, graphics, logos, images, audio clips, video clips, and software, is the property of SweetBot Inc. or its content suppliers and is protected by international copyright laws.
4.2 License
We grant you a limited, non-exclusive, non-transferable license to access and use our services for personal, non-commercial purposes. Any unauthorized use of our content may violate copyright, trademark, and other laws. This license does not include any resale or commercial use of our services or its contents.
4.3 Trademarks
All trademarks, service marks, and trade names are proprietary to SweetBot Inc. or other respective owners that have granted us the right and license to use such marks. Unauthorized use of these marks is strictly prohibited.
5. Disclaimers and Limitation of Liability
5.1 No Warranties
Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, timely, secure, or error-free.
5.2 Limitation of Liability
In no event shall SweetBot Inc., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from our services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.
6. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for the resolution of any disputes.
7. Dispute Resolution
7.1 Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to this agreement or our services, you and SweetBot Inc. agree to first attempt to negotiate any dispute (except those disputes expressly provided below) informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one person to the other.
7.2 Binding Arbitration
If you and SweetBot Inc. are unable to resolve a dispute through informal negotiations, either you or we may elect to have the dispute finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. The arbitration shall be conducted in Ontario, Canada, except as otherwise agreed. Each party shall bear its own costs (including legal fees) of the arbitration.
8. Third-Party Links
Our services may contain links to third-party websites or services that are not owned or controlled by SweetBot Inc. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that SweetBot Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
9. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the terms. Upon termination, your right to use the services will immediately cease.
10. Miscellaneous
10.1 Entire Agreement
This legal notice, along with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and SweetBot Inc. regarding our services and supersedes any prior agreements or understandings, whether written or oral.
10.2 Severability
If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
10.3 Waiver
No waiver of any term or condition of this agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. The failure of SweetBot Inc. to assert any right or provision under this agreement shall not constitute a waiver of such right or provision.
